A structure report sets out, from the public registers, how a Dutch company or group is actually held: the chain of ownership, the directors and officers on record, the filings made, and the beneficial owner where that record is open. It is used before you instruct, invest, buy, lend or litigate, so that strategy rests on the registered position rather than on what the counterparty says it is.

The questions it settles

  • Who owns the entity, and through what chain of holdings above it.
  • Who the directors and officers of record are, and when they changed.
  • What the entity has filed, and what it has failed or been late to file.
  • Whether the beneficial owner is recorded, and what the register actually shows.
  • Whether the shares are pledged, and whether the register notes an attachment.
  • Whether the entity is in any published insolvency or dissolution state.
  • How the Dutch entity connects to any foreign parent or subsidiary.
  • Whether the registered position matches what you have been told.

The tiers

A report comes in tiers. A Tier 1 report gives you the raw register extracts with a factual cover note. Tier 2 adds a structured analysis of the ownership and control chain against the primary source. Tier 3 adds a written opinion on what the record does and does not establish. Every tier is dated and sourced. The fixed price is confirmed on request before you order, because it depends on the jurisdictions involved and whether a register's access regime requires a licensed local agent. The free availability check below tells you what exists, and at what cost, before you commit.

Where the material comes from

SourceWhat it holdsAccess
Handelsregister (Dutch trade register, KVK)Entity, directors, filings, annual accounts, dissolutionOpen record; extracts obtained on the standing any applicant has
UBO register (KVK)Registered beneficial owner, where access appliesAccess is regulated and has been narrowed; obtained only where the applicable regime allows it
Kadaster (Land registry)Dutch real property held by the entity and charges on itOpen record on the standing any applicant has
Foreign company and beneficial-owner registersParent, subsidiary and owner records outside the NetherlandsJurisdiction by jurisdiction; some open, some closed or licensed (see below)

Everything in a structure report is obtained from the registers and open sources named above, on the standing any applicant has. We do not hold privileged or non-public access to any register, and nothing here is background screening of a person.

What is closed, and cannot be obtained

  • Where a register notifies the subject that their data has been requested, you are told this before the request is made, not after.
  • Beneficial-owner data is closed or restricted in several jurisdictions; where it is, the report says so rather than estimating it.
  • Internal company documents that are never filed, such as board minutes or shareholder agreements, are not on any register and cannot be obtained this way.
  • Where a jurisdiction's access regime is still being confirmed against the primary source, that line is quoted on request, not guessed.

The free availability check

Send the identifiers you have, the registered name, the number, the country, and within two working hours you get back what exists, at what cost, in what time, and what does not exist. There is no charge for the availability check and no commitment to order.

How the report is delivered

The report is delivered as a dated, sourced document, with the register extracts attached. Each figure or record carries the source it came from and the date it was obtained, so you can rely on it or check it yourself. Registry charges passed through are shown as passed through.

By jurisdiction

A structure report can be run on an entity in any of these jurisdictions. Each page sets out what the registers there hold and what is closed.

What this does not cover

  • It is not a legal opinion on your matter; it establishes the registered facts, not your position on them.
  • It is not background screening, surveillance or investigation of an individual.
  • It does not reach documents that are never filed on a public register.
  • It does not assert access we do not have; a closed register is reported as closed.
