# A drag-along is triggered and the minority resists when the file is in Dutch and your board is not

When a drag-along clause is triggered and the minority refuses to sign, you have three routes: enforce the mechanism itself backed by interim relief, sue on the merits for specific performance, or agree a variation before your own contractual window closes. The right choice turns on how fast you need control and how reliably your board can read what the file actually says.

What happens if you do nothing

If the exercise window in the shareholders' agreement runs out before you act, the drag-along right typically lapses on its own terms, not on a court date. Most Dutch-law shareholders' agreements tie the deadline to the trigger event itself, not to when the board has finished reviewing a translation of it.

A stalled drag-along becomes a question for corporate law and governance the moment the resisting shareholder stops answering correspondence, because at that point the file, not the negotiation, decides what happens next. Waiting for a full, verified English rendering of the shareholders' agreement before your board confirms the trigger has occurred is the single most common reason a genuine drag right is lost by delay rather than defeated on the merits. A financing party or buyer with its own conditions to closing does not wait for that review to finish.

What decides between them

The first question is whether the resistance is a genuine dispute about the trigger, or plain non-cooperation despite a clear entitlement. A Dutch court tests the exercise of a drag-along right against redelijkheid en billijkheid (reasonableness and fairness) as well as against the wording agreed; a technically valid trigger exercised in an unreasonable manner can still be checked by the court.

The second question is how time-sensitive the closing actually is. If financing or a third-party sale condition has its own deadline, interim relief is usually the only route fast enough to matter, and its cost is the price of speed rather than of complexity. If the resisting shareholder holds through a chain running into another jurisdiction, the verification exercise looks like the one set out for the ownership chain in an Israeli structure: you need to know who ultimately controls the block before you know whom you are actually suing.

The third question is whether your board can independently confirm what the Dutch original says, rather than what a summary of it says. Every route above assumes the trigger is as described; if that description rests on an informal translation, you are litigating on a version of the file that a Dutch court will not use.

The deadline that runs

Two deadlines run in parallel and they are not the same one. The contractual exercise or notice deadline sits inside the shareholders' agreement itself and commonly runs from the trigger event, not from board sign-off, translation, or internal approval. No public register publishes a standard figure for this window; it is set by the parties in the document you hold, and you should read the clause itself rather than rely on a summary of it.

Separately, if you seek kort geding, there is no statutory minimum notice period, but the court needs practical time to schedule an urgency hearing, which in practice takes this route into weeks rather than days once the application is filed. Missing the contractual deadline while the translation is still under review is the failure mode this page exists to flag.

Evidence to secure now

Secure the original Dutch-language shareholders' agreement and any amendments, together with a working translation reviewed by Dutch-qualified counsel of record rather than a machine rendering used for internal purposes only. Secure the board or shareholder resolution recording the trigger event and any correspondence in which the trigger was communicated, dated, and acknowledged or disputed.

Pull a current extract from the Dutch trade register held by the Chamber of Commerce to confirm who is presently registered as a director and what the formal capital position shows; the shareholders register itself is not public and is held by the company or its civil-law notary. Where the drag mechanism sits behind board instructions from a parent that does not itself sit in the Netherlands, the pattern in a foreign parent instructing the Dutch board against its own judgment covers the same translation and authority risk from the other direction.

Cost drivers

Court fees for both interim relief and proceedings on the merits scale with the value of the claim and are set by the deciding court; the exact table changes and should be checked against the current published schedule rather than assumed. Translation is a second driver that is easy to underweight: a Dutch court works from the Dutch original, and a translation submitted in support of an application must be complete and accurate, not a summary prepared for internal briefing.

The civil-law notary's fee for the transfer deed itself is a separate cost from any litigation, and runs regardless of which route resolves the resistance. None of these figures are published as a fixed price here, because they move with claim value, document volume, and the notary chosen, and stating a single number would misstate all three.

What we would do in the first week

Day one to two: obtain a complete, professionally reviewed translation of the shareholders' agreement and the resolution recording the trigger, checked clause by clause against the actual events rather than against a summary. In parallel, pull a current trade register extract and confirm the exercise deadline as written, not as remembered.

By the end of the week: decide whether the facts support an urgency application, or whether the file needs more building before any court sees it. Prepare the notice or application file in a form a Dutch court can use directly, and decide whether a variation is realistically on the table before you file anything that forecloses it.

What this does not cover

  • The validity of the drag-along clause itself if it was never properly incorporated into the articles of association, which is a separate governance question.
  • The statutory squeeze-out route available to a majority holder above a high statutory ownership threshold, which is a different mechanism from a contractual drag-along and is not addressed here.

Questions

Does a drag-along clause need a majority vote to be triggered, or can it be automatic?

That depends entirely on how the clause is drafted. Some agreements tie the drag right to a qualifying sale approved by a stated majority; others tie it to a defined trigger event without any further vote. There is no general Dutch statutory drag-along outside what the parties wrote into their own agreement, so the clause, not custom, controls.

Can a Dutch notary execute the transfer deed without the resisting shareholder's signature?

Only where a court order compels the transfer, or where the shareholders' agreement or articles already build in a proxy or power-of-attorney mechanism for exactly this situation. Absent either, the notary needs either cooperation or a judgment ordering specific performance before the deed can proceed.

Does using a translated version internally affect the agreement's validity if the original was signed in Dutch?

No. Dutch law recognises the agreement in whichever language it was executed. A Dutch court, however, works from the Dutch original, so an inaccurate translation relied on by the deciding board is the board's own risk, not a defence available against the counterparty.
